Thorhild County Library Board Public Member Trustee Position Description

A member of the Thorhild County Library Board is an appointed public member who contributes to the Board's mission and strategic direction, including legal compliance and financial planning and oversight. Board members are appointed by Thorhild County Council in accordance with Alberta's Libraries Act.

Library Board members are not involved in day-to-day operations. Their contribution is focused on the long-term success of the Library Board, ensuring that public library service meets community needs and operates in accordance with applicable legislation, agreements and policies.

Key Responsibilities

• Fiduciary duties. Act in the best interests of the Library Board and meet the following legal and ethical responsibilities:
• Duty of care. Make informed decisions, stay aware of current and emerging issues, review relevant information and ask appropriate questions.
• Duty of loyalty. Put the interests of the Library Board ahead of personal interests and disclose actual or potential conflicts of interest.
• Duty of compliance. Help ensure the Library Board complies with applicable legislation, regulations, contracts, agreements and its own policies.
• Governance and oversight. Contribute to policy development, planning, evaluation, financial management and risk management.
• Board development. Undertake applicable training, obtain the information needed for decision-making and participate actively in improving Board performance.
• Knowledge and preparation. Become familiar with the Libraries Act, Libraries Regulation, Library Board policies and relevant contracts and agreements.
• This position involves a time commitment of 40-100 hours of time annually

Legal and Ethical Considerations

• Individual Board members do not have independent decision-making authority. Authority rests with the Library Board as a whole, and members are expected to respect and comply with decisions made by the Board.
• Board members are responsible for meeting their fiduciary duties and may be held accountable for a breach of those duties.
